Terms of Service

These Terms of Service (“Terms”) govern your use of Podclave, the service operated by Podclave LLC, a Florida limited liability company (“Podclave,” “we,” “us”), at podclave.com. By creating an account or using the service, you agree to these Terms.

1. What Podclave is
Podclave is a control plane for development sandboxes (“Sprites”) that run on the Sprites.dev platform, operated by Fly.io. Podclave lets you create, access, and manage Sprites from a browser: a terminal, file management, credential setup, services, scheduling, organization-wide policy, and team features. Optionally, you can enable Agent Email — a per-Sprite real email inbox provisioned through our third-party email provider (AgentMail). Email content flows between your Sprite and AgentMail directly; Podclave is not in the mail path and does not retain your mailbox contents.
Podclave is not a compute provider. Your Sprites run in your own Sprites.dev organization, under your own agreement with Fly.io, and Fly.io bills you directly for that compute. We never resell compute, mark it up, or touch your Fly.io bill.
Podclave LLC is an independent company. We are not affiliated with, endorsed by, or sponsored by Fly.io, Sprites.dev, Anthropic, or GitHub — we build on their platforms as a customer and integrator, the same way you do.
2. Your Sprites.dev account (bring your own org)
To use Podclave’s core features you connect a Sprites.dev organization by providing an API token you generate at sprites.dev. You must have the right to use that organization and to authorize Podclave to act on it. By connecting it, you authorize us to call the Sprites.dev APIs with your token on your behalf — creating, waking, configuring, and destroying Sprites, reading and writing their files, and opening terminal sessions — when you or members of your Podclave organization use those features.
Because the compute is yours:
- Your use of Sprites is also governed by Fly.io’s and Sprites.dev’s own terms and acceptable-use policies. You are responsible for complying with them and for paying Fly.io.
- If your Fly.io account is suspended, out of quota, or unpaid, Podclave features that depend on it will stop working. That is between you and Fly.io; we will surface the errors but cannot fix them.
- If you stop using Podclave, your Sprites and everything on them remain in your Sprites.dev organization. Leaving Podclave does not take your machines or your data with it.
You can revoke Podclave’s access at any time by rotating or deleting the token at sprites.dev.
3. Accounts and organizations
You sign in with an email address and a one-time code, optionally with a passkey. You are responsible for keeping access to your email account secure — anyone who controls your email can sign in as you.
A Podclave organization corresponds to one Sprites.dev organization. If you are an organization admin, you can invite members. Members get their own Sprites under the organization’s connected token without ever seeing the token; you are responsible for who you invite, and inviting a member may change what you owe us (see Section 7).
You must be at least 13 years old to use Podclave, or older where your country’s law sets a higher minimum age for online services (for example, 16 in some EEA countries). If you are under 18, you may use Podclave only as an invited member of an organization whose admin is an adult — a parent, guardian, or teacher — who accepts these Terms on your behalf; minors cannot connect a Sprites.dev organization or be the paying admin.
4. Connected credentials (Anthropic, GitHub)
Podclave can place credentials you connect — an Anthropic (Claude) sign-in
and a GitHub authorization — onto the Sprites you own, so tools like
claude and gh arrive ready to use. This is optional and always your
action: you complete the provider’s own sign-in or consent flow.
- We store these tokens encrypted and use them only to place them on Sprites you own and to keep them fresh (for example, refreshing an expiring Claude token). See the Privacy Policy.
- Your use of Claude and GitHub through those credentials is governed by Anthropic’s and GitHub’s terms, including any usage policies attached to your accounts there. Podclave does not proxy or inspect your Claude traffic — it flows from your Sprite to Anthropic under your own account.
- You can disconnect at any time in Podclave, and/or revoke the grant at the provider (claude.ai settings, GitHub authorized applications).
5. Your content
Everything you put on your Sprites — code, files, repositories, anything your tools produce — is yours. Configuration you store in Podclave (overlay files, environment values, schedules) is also yours. We claim no ownership of any of it.
You grant us the limited rights needed to operate the service: to transmit, store, and display your content when you use a feature that requires it — for example streaming a file you upload or download, showing a directory listing, relaying your terminal session, or writing the configuration you asked us to place on a Sprite. We do not use your content for anything else, including training machine-learning models.
You are responsible for your content: that you have the rights to it, and that it doesn’t break the law or these Terms.
6. Acceptable use
Don’t use Podclave to:
- break the law, or store or distribute content you have no right to;
- attack, probe, or disrupt the service, other users, or anyone else’s systems;
- attempt to access another user’s account, organization, or Sprites;
- circumvent seat-based billing (for example, sharing one account across multiple people);
- resell or white-label the service without our written agreement;
- use Agent Email inboxes to send spam, bulk unsolicited mail, phishing, or
anything else that would damage the reputation of the shared
agents.podclave.comsending domain — which would affect every user on it. We may suspend or revoke an inbox that generates abuse complaints or harms shared-domain deliverability.
What you run on your Sprites is primarily governed by Fly.io’s and Sprites.dev’s acceptable-use policies, since the compute is theirs and yours. But if your use of Podclave-managed Sprites generates abuse complaints to us, or harms the service or other users, that violates these Terms too.
We may suspend or terminate accounts that violate this section. When practical, we will warn you first.
7. Fees and billing
Podclave is priced per seat, per organization: the first seat of every organization is free, and each additional seat is $15 per month, self-serve up to 10 seats. Larger organizations are custom-priced — contact us. Pricing for compute is not ours: Fly.io bills you separately and directly.
Payments are processed by Stripe. Adding a seat mid-cycle is prorated; removing seats reduces your next invoice. Cancellation, proration details, and refunds are described in the Refund & Cancellation Policy, which is part of these Terms.
If a charge fails and remains unpaid after we notify you, we may downgrade or suspend the paid features of your organization. We will give at least 30 days’ notice (by email or in the product) before any price increase takes effect for you.
8. Termination
You can stop using Podclave at any time. Removing paid seats ends the corresponding charges (see the Refund & Cancellation Policy). If you want your account and its data deleted, email hello@podclave.com and we will delete the control-plane data described in the Privacy Policy. Your Sprites and their contents are unaffected — they live in your Sprites.dev organization.
We may suspend or terminate your access if you materially violate these Terms, if we are required to by law, or if we discontinue the service. If we discontinue the service or terminate without cause, we will give you reasonable advance notice and refund any prepaid fees covering the period after termination. Your Sprites survive either way — that is the point of the bring-your-own-org design.
9. Service changes and availability
We are a small company building actively. Features may change, improve, or be removed; we will not remove a capability you pay for without notice. The service depends on platforms we do not control — Sprites.dev, Fly.io, Anthropic, GitHub, and our own providers — and an outage or change on their side can degrade or break features on ours. We do not promise any particular uptime, and we do not currently offer an SLA.
10. Disclaimers
The service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We take security seriously — the Privacy Policy describes the specific measures — but no one can promise a system is impenetrable, and we do not warrant that the service will be uninterrupted, error-free, or free of vulnerabilities, or that it will preserve any particular content. Keep your code in version control and your important data backed up (your Sprites support checkpoints; use them).
Some features let you set organization-wide policy — such as a network-egress rule, package lists, or overlays — that Podclave applies to your Sprites and shows other members read-only. These are configuration controls, not a guaranteed security boundary: a Sprite’s owner has root and can change its configuration from inside the Sprite. We don’t warrant that any such policy is enforced or cannot be altered.
11. Limitation of liability
To the maximum extent permitted by law, Podclave LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to the service — even if we have been advised of the possibility.
To the same extent, our total liability for all claims arising out of or related to the service is capped at the greater of (a) the amounts you paid us in the 12 months before the claim arose, or (b) $100.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
12. Indemnification
If your content or your use of the service in violation of these Terms causes a third-party claim against us, you agree to defend and indemnify Podclave LLC against the resulting damages, liabilities, and reasonable legal costs.
13. Governing law and disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. Courts located in Florida have exclusive jurisdiction over disputes arising from these Terms or the service, and both sides consent to venue there. Before filing anything, email us — most problems are fixable by two people talking.
14. Changes to these Terms
We may update these Terms as the product and the law evolve. The “Last updated” date above always reflects the current version, and the full change history is preserved. For material changes we will notify you — by email or prominently in the product — before they take effect. Continuing to use the service after a change takes effect means you accept the updated Terms.
15. Miscellany
These Terms, the Privacy Policy, the Refund & Cancellation Policy, and the Cookie Policy are the entire agreement between you and Podclave LLC about the service. If a provision is found unenforceable, the rest remain in effect. We may assign this agreement in connection with a merger, acquisition, or sale of assets; you may not assign it without our consent. Our failure to enforce a provision is not a waiver. Fly.io, Sprites.dev, Claude, Anthropic, and GitHub are trademarks of their respective owners; their mention here describes interoperability, not endorsement.
